What We’re Looking For:

We are looking for a Mergers and Acquisition Associate to support NationsBenefits Executive Office, specifically its Corporate and Acquisitions teams. This position will report to the Senior Vice President of Executive Operations and will work closely with our Corporate Development, Legal and Operations teams. The Associate will take a solutions-oriented approach to complex acquisitions, with an eye towards innovation and scalability for our rapidly growing acquisitions practice. The successful candidate will well versed in financial analysis, specifically financial modeling. The following responsibilities include but are not limited to:

  • Negotiate and review complex agreements and transactions
  • Interact extensively with management and employees of the Company at all levels, and with customers, vendors, government agencies, and outside advisors and counsel, as required
  • Ability to manage full-cycle acquisitions, mergers, divestitures, and other corporate transactions (NDAs, diligence, deal negotiations, and post-deal integration) is viewed favorably but not required
  • Provide legal guidance to management on a wide range of commercial and legal issues, including commercial transactions, finance, regulatory compliance, corporate governance, employment, and litigation and Mergers & Acquisitions

Requirements:

  • JD and licensed & in good standing with FL bar organization or another state’s bar organization
  • 2+ years of relevant Corporate or M&A practice area experience gained in law firm and/or in-house environments
  • 2+ years of strong drafting experience in corporate/ M&A, banking/finance, or commercial real estate transactions
  • Strong drafting experience in corporate/ M&A, banking/finance, or commercial real estate transactions
  • Detail oriented while also mindful of the big picture
  • Ability to function well in a fast-paced, dynamic environment
  • Proficient written, verbal communication, and interpersonal skills
  • Practical, problem-solver who enjoys negotiating and closing deals
  • Team player with a sense of humor
  • Ability to manage a variety of legal issues including but not limited to drafting/reviewing/negotiating a variety of agreements, health care and federal audits, managing governance responsibilities for privately-held organizations, managing outside counsel, and providing counsel to the business units

Education/Licensure:

  • Juris Doctorate Law degree from an accredited law school
  • U.S. state bar admission, in good standing
